# Terms & Conditions

By placing a wholesale order with Lumetra, you agree to be bound by these Terms & Conditions.
We reserve the right to revise these terms without prior notice.
1. **Quotation & Order**
All quotations are valid for 30 days. MOQ is required for each product. Once the deposit is received, any order cancellation by the buyer will incur charges for material and production costs already incurred. The Proforma Invoice (PI) shall prevail over website descriptions.
2. **Payment Terms**
We accept payment via Stripe and bank transfer. A 30% deposit is required to commence production. The full balance must be settled before shipment. All prices listed on our website are EXW (Ex Works), excluding sea freight, insurance, import duties and destination taxes.
3. **Samples**
The buyer shall cover sample cost and sample shipping fee. Minor color or texture variation between samples and mass production goods is acceptable within standard industry tolerance.
4. **Shipping & Customs Clearance**
Title and risk of goods transfers to the buyer once goods leave our factory. The buyer is fully responsible for import customs clearance, duties and taxes at the destination country. We can provide commercial invoice, packing list and certificate of origin upon request.
5. **Quality & Inspection**
The buyer shall conduct pre-shipment inspection. For handmade eyeglass boxes, an acceptable defect rate of 3% applies. Claims for damage caused by transportation after goods leave our factory will not be accepted.
6. **Intellectual Property & Custom Logo**
The buyer warrants that all logos and artwork supplied to us do not infringe any third-party intellectual property rights. Lumetra shall not be liable for any IP infringement disputes arising from buyer-provided files.
7. **Force Majeure**
We shall not be responsible for any delay or failure of performance caused by events beyond our reasonable control, including natural disasters, government regulations, port congestion and supply chain disruptions.
8. **Governing Law & Dispute Resolution**
These terms are governed by the laws of the People’s Republic of China. Any dispute shall first be resolved by friendly negotiation. If negotiation fails, disputes shall be submitted to the Xingtai Arbitration Commission for arbitration in accordance with its arbitration rules.
All notices under this agreement shall be sent by email and deemed received upon sending.
